Gutenberg Print LTD – Terms & Conditions of Contract

These Terms and Conditions (“Terms”) govern all quotations, contracts, and services provided by Gutenberg Print LTD (“we”, “us”, “our”) to business customers (“you”, “the Client”).

They supersede all prior agreements, representations, or understandings unless expressly agreed in writing.

1.  Definitions

  • Seller / Company: Gutenberg Print LTD, registered in England & Wales, acting as a consulting partner and reseller of print and related services.
  • Client / Buyer: Any business entity purchasing services or goods from Gutenberg Print
  • Work: All consulting services, print products, fulfilment, logistics, and related services arranged by us.
  • Production Partner: A third-party printing, finishing, storage, or fulfilment provider engaged by us to deliver the Work.
  • Preliminary Work: Consulting, planning, specification development, artwork review, production optimisation, or preparatory services.
  • Electronic Files: Digital files supplied by the Client or created for the Client in connection with the Work.

2.  Scope of Services

Gutenberg Print LTD operates as a consulting-led print partner and reseller.

We do not own or operate printing presses, finishing equipment, storage facilities, or logistics infrastructure.

Production, finishing, storage, and distribution are carried out by approved third-party Production Partners, primarily located within the UK and EU.

3.  Quotations & Pricing

  1. All quotations are estimates based on specifications provided at the time and may be revised if specifications change.
  2. Prices are exclusive of VAT and any applicable taxes unless stated
  3. Preliminary Work is chargeable whether or not the project proceeds to
  4. Additional costs arising from incomplete, late, or incorrect information supplied by the Client may be charged.

4.  Payment Terms

  1. Payment terms are stated on the invoice unless otherwise agreed in

  3. Late payments may incur interest and recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

  1. The Client is responsible for retaining copies of all supplied
  2. We are not responsible for checking content accuracy unless expressly
  3. If files are unsuitable for production, additional costs may apply, or the Work may be

6.  Production & Quality

  1. Production is carried out by third-party Production Partners using industry-standard
  2. Reasonable variations in colour, materials, or finishing are acceptable unless otherwise agreed in
  3. Proof approval by the Client constitutes acceptance of content and

  1. Delivery times are estimates only and not of the essence unless expressly
  2. Risk in the finished goods passes to the Client upon delivery by the Production

8.  Claims & Liability

  1. Claims relating to defects or delivery issues must be notified in writing within 14 days of delivery.
  2. Our liability is limited, at our discretion, to:
    • rectification of the defect, or
    • a credit of the invoiced value of the affected
  3. We are not liable for indirect, consequential, or third-party

9.  Intellectual Property

  1. All intellectual property in consulting methodologies, specifications, and documentation remains our property unless agreed otherwise.

10.  Data Protection

Both parties shall comply with the UK GDPR and Data Protection Act 2018.

Where personal data is processed as part of the Work, the Client warrants that all necessary consents have been obtained.

11.  Insolvency

If the Client becomes insolvent, we may suspend or terminate services and invoice for work completed and costs incurred.

12.  Force Majeure

We shall not be liable for delays or failure caused by events beyond our reasonable control, including supply chain disruptions, material shortages, or actions of Production Partners.

13.  Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction.

14.  Severability

If any provision is held unenforceable, the remaining provisions remain in full force.
