Conditions of Contract<\/h1>\n<p><em>Last updated: [add date]<\/em><\/p>\n<p>These Terms and Conditions (\u201cTerms\u201d) govern all quotations, contracts, and services provided by Gutenberg Print LTD (\u201cwe\u201d, \u201cus\u201d, \u201cour\u201d) to business customers (\u201cyou\u201d, \u201cthe Client\u201d).<\/p>\n<p>They supersede all prior agreements, representations, or understandings unless expressly agreed in writing.<\/p>\n<h1>1.\u00a0 Definitions<\/h1>\n<ul>\n<li>Seller \/ Company: Gutenberg Print LTD, registered in England &amp; Wales, acting as a consulting partner and reseller of print and related services.<\/li>\n<li>Client \/ Buyer: Any business entity purchasing services or goods from Gutenberg Print<\/li>\n<li>Work: All consulting services, print products, fulfilment, logistics, and related services arranged by us.<\/li>\n<li>Production Partner: A third-party printing, finishing, storage, or fulfilment provider engaged by us to deliver the Work.<\/li>\n<li>Preliminary Work: Consulting, planning, specification development, artwork review, production optimisation, or preparatory services.<\/li>\n<li>Electronic Files: Digital files supplied by the Client or created for the Client in connection with the Work.<\/li>\n<\/ul>\n<h1>2.\u00a0 Scope of Services<\/h1>\n<p>Gutenberg Print LTD operates as a consulting-led print partner and reseller.<\/p>\n<p>We do not own or operate printing presses, finishing equipment, storage facilities, or logistics infrastructure.<\/p>\n<p>Production, finishing, storage, and distribution are carried out by approved third-party Production Partners, primarily located within the UK and EU.<\/p>\n<h1>3.\u00a0 Quotations &amp; Pricing<\/h1>\n<ol>\n<li>All quotations are estimates based on specifications provided at the time and may be revised if specifications change.<\/li>\n<li>Prices are exclusive of VAT and any applicable taxes unless stated<\/li>\n<li>Preliminary Work is chargeable whether or not the project proceeds to<\/li>\n<li>Additional costs arising from incomplete, late, or incorrect information supplied by the Client may be charged.<\/li>\n<\/ol>\n<h1>4.\u00a0 Payment Terms<\/h1>\n<ol>\n<li>Payment terms are stated on the invoice unless otherwise agreed in<\/li>\n<li>We reserve the right to request partial or full payment in<\/li>\n<li>Late payments may incur interest and recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.<\/li>\n<li>Failure to pay may result in suspension of<\/li>\n<\/ol>\n<h1>5.\u00a0 Client-Supplied Materials &amp; Files<\/h1>\n<ol>\n<li>The Client is responsible for retaining copies of all supplied<\/li>\n<li>We are not responsible for checking content accuracy unless expressly<\/li>\n<li>If files are unsuitable for production, additional costs may apply, or the Work may be<\/li>\n<\/ol>\n<h1>6.\u00a0 Production &amp; Quality<\/h1>\n<ol>\n<li>Production is carried out by third-party Production Partners using industry-standard<\/li>\n<li>Reasonable variations in colour, materials, or finishing are acceptable unless otherwise agreed in<\/li>\n<li>Proof approval by the Client constitutes acceptance of content and<\/li>\n<\/ol>\n<h1>7.\u00a0 Delivery &amp; Risk<\/h1>\n<ol>\n<li>Delivery times are estimates only and not of the essence unless expressly<\/li>\n<li>Risk in the finished goods passes to the Client upon delivery by the Production<\/li>\n<li>Any storage or fulfilment services are provided by third parties under separate<\/li>\n<\/ol>\n<h1>8.\u00a0 Claims &amp; Liability<\/h1>\n<ol>\n<li>Claims relating to defects or delivery issues must be notified in writing within <strong>14 days of delivery<\/strong>.<\/li>\n<li>Our liability is limited, at our discretion, to:\n<ul>\n<li>rectification of the defect, or<\/li>\n<li>a credit of the invoiced value of the affected<\/li>\n<\/ul>\n<\/li>\n<li>We are not liable for indirect, consequential, or third-party<\/li>\n<li>Nothing in these Terms excludes liability for death or personal injury caused by<\/li>\n<\/ol>\n<h1>9.\u00a0 Intellectual Property<\/h1>\n<ol>\n<li>All intellectual property in consulting methodologies, specifications, and documentation remains our property unless agreed otherwise.<\/li>\n<li>Client-supplied content remains the Client\u2019s responsibility, including copyright<\/li>\n<\/ol>\n<h1>10.\u00a0 Data Protection<\/h1>\n<p>Both parties shall comply with the <strong>UK GDPR and Data Protection Act 2018<\/strong>.<\/p>\n<p>Where personal data is processed as part of the Work, the Client warrants that all necessary consents have been obtained.<\/p>\n<h1>11.\u00a0 Insolvency<\/h1>\n<p>If the Client becomes insolvent, we may suspend or terminate services and invoice for work completed and costs incurred.<\/p>\n<h1>12.\u00a0 Force Majeure<\/h1>\n<p>We shall not be liable for delays or failure caused by events beyond our reasonable control, including supply chain disruptions, material shortages, or actions of Production Partners.<\/p>\n<h1>13.\u00a0 Governing Law &amp;
